WMG Acquisition Corp. Announces Expiration and Final Results of Cash Tender Offers

Warner Music Group Corp. (“Warner Music Group”) announced today that the previously announced cash tender offers by its wholly owned subsidiary, WMG Acquisition Corp. (“WMG”), expired at 5:00 p.m. New York City time on October 17, 2016. At the expiration time, valid tenders had been received in the amounts set forth in the table below. 

(1)      Excludes notes tendered through the guaranteed delivery procedures.

WMG expects to accept for payment all notes validly tendered and not validly withdrawn in the tender offers and expects to make payment for the notes, excluding notes delivered in accordance with the guaranteed delivery procedures, in same-day funds today, October 18, 2016.  WMG expects to make payment for any notes delivered in accordance with the guaranteed delivery procedures in same-day funds on October 20, 2016. WMG also expects, with respect to any remaining notes outstanding, to irrevocably deposit with the trustee for each series of notes funds sufficient to satisfy all remaining obligations to the expected date of redemption, January 15, 2017, under the applicable indenture.

Credit Suisse Securities (USA) LLC acted as the Dealer Manager for the tender offers.  D.F. King & Co., Inc. served as the Information and Tender Agent for the tender offers.
